Terms of Service

These Terms govern VisionHub LLC's websites, products, applications, digital ecosystem services, software platforms, subscriptions, Growth Add-Ons, Strategy Sessions, demos, and related services.

At-a-Glance Summary: Terms and Conditions

Key points you need to know before using VisionHub services.

💻

VisionHub owns the software and platforms.

Applications, source code, frameworks, systems, portals, workflows, templates, and software created by VisionHub remain VisionHub's property unless a separate written agreement says otherwise.

🗂️

You own your data and content.

Customers retain ownership of their data, content, logos, brand assets, files, customer records, member records, voter records, and business information.

🔑

You receive a license, not ownership of the app.

Customers receive a limited license to use VisionHub applications or platforms for their business or organization. Ownership of the software itself is not transferred.

📋

Strategy Sessions are required for some services.

Certain quick-start services may require a $150 non-refundable VisionHub Strategy Session before work begins. The fee may be credited toward the related project if you move forward within 7 days of your session.

💳

Payments and subscriptions are processed through Stripe.

VisionHub may use Stripe for one-time payments, deposits, non-refundable fees, subscriptions, SEO plans, Growth Add-Ons, and other purchases.

🌐

Domains are separate.

Domain registration, yearly renewals, transfers, and ownership fees are the customer's responsibility. VisionHub can assist with domain setup or connection for an additional cost.

🎁

Free or discounted work is limited.

If VisionHub provides free, discounted, rebated, nonprofit, friends/family, promotional, or portfolio work, the customer receives only the specific work provided. VisionHub does not owe ongoing updates, maintenance, SEO, corrections, hosting, or support unless separately paid for in writing.

🔧

Additional work is billable.

Work outside the original scope — including updates, new pages, content changes, SEO, maintenance, troubleshooting, or revisions — may be billed at VisionHub's then-current hourly rate, including $135/hour where applicable, or at a separately quoted rate.

📦

Growth Add-Ons have defined limits.

Website Care, SEO Care, Local Visibility, Review Engine, Analytics Reporting, Ads Management, Conversion Audits, CRM Automation, and other Growth Add-Ons are limited to the selected plan or written scope.

📊

SEO and ads are not guaranteed outcomes.

VisionHub does not guarantee rankings, traffic, leads, sales, clicks, conversions, impressions, ad performance, or return on ad spend.

✅

Customer access and approvals matter.

Customers must provide timely access, content, feedback, approvals, platform permissions, and accurate information. VisionHub may pause work if required items are missing.

📐

Services are limited by scope.

VisionHub is responsible only for the services purchased, selected, or agreed to in writing. No unpaid or implied services are included.

4. Ownership of Applications, Platforms, and Software

All applications, platforms, source code, software, systems, frameworks, portals, workflows, dashboards, templates, libraries, automations, backend structures, and digital tools created, configured, or provided by VisionHub LLC remain the sole property of VisionHub LLC unless a separate written agreement expressly states otherwise.

Customers receive a limited, non-exclusive, non-transferable license to use the applicable VisionHub product, application, platform, or system for their business or organization.

Ownership of VisionHub software, source code, frameworks, and platform technology is not transferred to the customer unless explicitly agreed in writing.

VisionHub may reuse, adapt, license, modify, or offer the same or similar frameworks, components, workflows, design systems, templates, tools, or software structures to multiple clients.

5. Customer Data and Content Ownership

Customers retain ownership of their data, content, files, logos, brand assets, customer records, member records, voter records, business information, and materials provided to VisionHub.

VisionHub does not claim ownership of customer data or end-user data.

Customers are responsible for ensuring they have the legal right, permission, consent, or authority to provide any data, content, images, logos, customer lists, member lists, voter lists, business records, or third-party materials to VisionHub.

6. Deliverables and Acceptance

Deliverables are defined by the applicable estimate, invoice, checkout description, service package, statement of work, selected plan, or written agreement.

Acceptance occurs when:

  • The customer provides written approval;
  • The deliverable is published, launched, used, or made available;
  • The customer begins using the deliverable publicly or internally; or
  • Five business days pass after delivery without written notice of a material defect.

A material defect is a reproducible issue that prevents core use of the agreed deliverable. Cosmetic preferences, new requests, changed opinions, new business needs, additional pages, added features, or out-of-scope revisions are not material defects unless specifically included in the original written scope.

7. Payments, Deposits, and Stripe Checkout

VisionHub may collect payments through Stripe, invoices, subscriptions, deposits, or other approved payment methods.

Deposits, paid Strategy Sessions, one-time service purchases, subscriptions, setup fees, milestone payments, and recurring service fees are governed by VisionHub's Refund Policy.

Balances are due according to the applicable invoice, checkout terms, statement of work, subscription plan, or written agreement.

VisionHub may pause, delay, suspend, or stop work for unpaid balances, failed subscription payments, chargebacks, payment disputes, or overdue invoices.

8. VisionHub Strategy Sessions

Certain quick-start services may require a paid VisionHub Strategy Session before work begins.

The standard Strategy Session fee is $150 unless otherwise stated.

The Strategy Session fee is non-refundable.

If the customer moves forward with the related project within 7 days of the Strategy Session, VisionHub may credit the $150 fee toward the final project balance.

The Strategy Session does not guarantee project acceptance, final pricing, delivery timeline, or approval of requested scope. Strategy Sessions are intended for discovery, planning, fit assessment, scope review, recommendations, and next steps.

9. Client Responsibilities

Customers are responsible for:

  • Providing accurate information
  • Providing timely feedback and approvals
  • Providing required content, logos, files, brand assets, images, copy, and legal text
  • Providing access to domains, hosting, DNS, CMS platforms, analytics, ad accounts, CRM systems, Google Business Profile, email platforms, payment systems, third-party tools, APIs, and other required accounts
  • Maintaining backups of their own data and content
  • Reviewing deliverables before approval or launch
  • Ensuring compliance with privacy, marketing, advertising, election, consumer protection, intellectual property, accessibility, and data laws
  • Maintaining domain ownership, domain renewals, hosting accounts, subscriptions, and third-party tools unless VisionHub has separately agreed in writing to manage those services

VisionHub may pause or delay services if the customer fails to provide required access, materials, content, approvals, or payment.

10. Third-Party Services

VisionHub may use or connect third-party services, including hosting platforms, cloud providers, Stripe, Google Workspace, analytics tools, CRM platforms, ad platforms, email systems, review platforms, domain registrars, DNS providers, APIs, plugins, templates, stock assets, security tools, or other vendors.

Customers are responsible for third-party fees unless VisionHub expressly states otherwise in writing.

VisionHub is not responsible for outages, policy changes, price changes, data loss, platform limitations, downtime, service interruptions, billing disputes, API changes, or failures caused by third-party providers.

11. Domain Registration, Ownership, Renewal, and DNS

Domain registration is not included in VisionHub's website package pricing unless explicitly stated in writing.

Customers may purchase and manage their own domains, or VisionHub may assist with domain purchase, connection, DNS configuration, SSL setup, or publishing for an additional cost.

Customers are responsible for all domain registration fees, renewal fees, transfer fees, ownership fees, registrar account access, billing information, and yearly domain costs.

If VisionHub purchases, configures, or connects a domain on behalf of a customer, the customer remains responsible for maintaining the domain and paying all associated domain fees.

VisionHub is not responsible for domain expiration, loss of domain ownership, DNS issues, email interruption, service interruption, or costs caused by a customer's failure to maintain domain registration, renewal, billing, access, or credentials.

12. Free, Discounted, Rebated, Promotional, Portfolio, Nonprofit, Friends/Family, or Courtesy Work

VisionHub may, at its sole discretion, provide free, discounted, rebated, nonprofit, friends/family, promotional, courtesy, portfolio, sample, or reduced-rate services. These may include websites, landing pages, logos, branding, setup work, design work, digital tools, or other deliverables.

Unless a separate written agreement says otherwise, free or discounted work includes only the specific deliverable VisionHub chooses to provide at the time.

Free or discounted work does not include ongoing maintenance, SEO, hosting, website care, analytics reporting, ads management, added pages, revisions, redesigns, corrections, updates, troubleshooting, support, training, content changes, integrations, accessibility work, legal text, privacy policy drafting, future improvements, or any additional services.

VisionHub does not owe payment, compensation, revenue share, royalties, commissions, discounts, future services, ongoing labor, or continued support to any customer, organization, individual, nonprofit, friend, family member, partner, or recipient of free or discounted work.

Customers receiving free, discounted, rebated, promotional, portfolio, or reduced-rate work remain responsible for all domain registration, domain renewal, hosting, third-party tools, software subscriptions, platform fees, content, approvals, credentials, and legal compliance.

Any additional work requested after delivery must be separately approved and paid for. Unless otherwise stated in writing, additional work may be billed at VisionHub's then-current hourly rate, including $135 per hour where applicable, or at a separately quoted project rate.

VisionHub may display free, discounted, rebated, promotional, portfolio, or reduced-rate work in its portfolio, marketing materials, sales presentations, website, social media, proposals, or examples of prior work, unless restricted by a written confidentiality agreement.

Free or discounted work is provided as-is, with no warranty, no guarantee of continued availability, and no obligation for future support or updates unless separately agreed in writing.

13. Intellectual Property and Portfolio Use

VisionHub retains all intellectual property rights in its pre-existing tools, systems, templates, source code, frameworks, workflows, software, and methods.

Upon full payment, customers own only the customer-specific content, branding, copy, images, or deliverables expressly identified as customer-owned in a written agreement.

Unless restricted by a written NDA or confidentiality agreement, VisionHub may display non-confidential visuals, screenshots, descriptions, logos, project summaries, websites, or deliverables in its portfolio, marketing materials, proposals, case studies, and sales presentations.

14. Digital Ecosystem Development and VisionHub Base Build

VisionHub Base Build and digital ecosystem development services may include website design, backend setup, PWA configuration, integrations, launch support, training, and related services. The scope is limited to the approved package, estimate, application approval, statement of work, or written agreement.

Additional pages, complex backend features, expanded testing, advanced integrations, custom dashboards, automation workflows, databases, reporting tools, third-party troubleshooting, or additional functionality may require additional payment.

Website Design and Development Services (Supplemental)

This supplemental section applies specifically to VisionHub website packages (Launch, Starter, Business, Business Plus), add-ons, revisions, additional pages, annual included change hours, prepaid Website Update Blocks, the optional Custom Content Admin Panel, and related website-design and development services. It supplements these Terms and VisionHub's Refund Policy; the full Website Services Agreement (available at /websites/agreement) controls for website-specific matters.

Payment: The full one-time build price, plus any selected add-ons and prepaid Website Update Blocks, is required before work begins. VisionHub does not administer partial-payment or internal installment arrangements. Klarna, where available, is processed through Stripe and administered by Klarna; any such agreement is between the customer and Klarna.

Package scope & pages: Packages include a set number of pages (Launch 1, Starter up to 3, Business up to 5, Business Plus up to 7). Additional standard pages are $175 each.

Add-ons & revisions: Fixed-price add-ons are limited to what was selected at checkout. Each package includes a defined number of revision rounds; additional rounds are $150 each.

Hourly & custom development: Work outside included scope, add-ons, or prepaid hours is billed at $135/hour in 15-minute increments, unless separately quoted.

Annual included hours & Update Blocks: While actively hosted through VisionHub, each package includes a limited annual change-hour allowance that resets yearly, does not roll over, and has no cash value. Prepaid Website Update Blocks offer a discounted rate; prepaid Update Block hours expire six (6) months after purchase, and expired unused hours are forfeited, non-refundable, and not auto-credited.

No admin access by default: Standard packages do not include administrative, backend, CMS, or source-code access; changes are submitted to VisionHub. A limited Custom Content Admin Panel is available starting at $750 for a defined set of editable fields and does not include full site, theme, layout, plugin, code, or database access.

Domains & hosting: Domain registration, renewal, and fees are the customer's responsibility and are not included in build pricing. Ongoing hosting/managed-platform services are separate; included annual hours require the site to remain actively hosted through VisionHub.

Customer responsibilities & delays: Customers must provide accurate information, content, logos, images, brand assets, approvals, and timely feedback. Missing information or approvals may delay the project or place it on hold and do not create refund rights.

Commencement & refunds: Work begins after full payment and a completed onboarding questionnaire. Once work begins, website-development payments are non-refundable except where applicable law requires otherwise. Unused revisions, unused included annual hours, and expired Update Block hours have no cash value.

Ownership: Customers own their provided content, branding, copy, and data. Standard purchases do not transfer ownership of VisionHub source code, frameworks, design systems, templates, platform, or proprietary technology; customers receive a limited license to use the delivered website.

Scope changes, custom development & e-commerce: Out-of-scope requests are new work and may require a quote or hourly billing. Portals, dashboards, databases, APIs, and automation are custom development. E-commerce (products, cart, checkout, shipping, taxes) is excluded from standard packages and requires separate pricing.

Website Tune-Ups: VisionHub-built sites may qualify for a standard Tune-Up. Sites built by another provider are not automatically accepted; VisionHub must first complete a technical review before determining eligibility, custom work, a custom quote, or a new-build recommendation. A standard Tune-Up cannot be purchased for an outside-built site until that review is complete.

19. Local Visibility and Review Engine

Local Visibility services may include Google Business Profile setup or review, local listing checklist support, business category review, local profile updates, reporting, and related recommendations.

Review Engine services may include branded review links, review request templates, review monitoring, review reports, response guidance, and reputation recommendations.

20. Analytics Reporting

Analytics Reporting services are provided for informational and optimization purposes.

Reports may rely on third-party tools such as Google Analytics, Google Search Console, advertising platforms, CRM platforms, website tools, or other connected systems.

VisionHub is not responsible for inaccuracies, outages, attribution gaps, tracking limitations, cookie restrictions, browser privacy settings, platform delays, missing permissions, or client-side changes that affect reporting accuracy.

21. Ads Management

Ads Management fees cover VisionHub's setup, monitoring, optimization, reporting, or campaign management services only.

Advertising platform spend is not included unless explicitly stated in writing. Customers are responsible for paying advertising budgets directly to the applicable ad platform, including Google, Meta, LinkedIn, TikTok, or other networks.

VisionHub does not guarantee impressions, clicks, conversions, leads, sales, revenue, return on ad spend, or campaign performance.

22. CRM and Automation Services

CRM Automation Setup and Automation Care may include form routing, CRM pipeline setup, lead notifications, auto-replies, follow-up workflows, status tracking, workflow review, and related configuration.

Customers are responsible for reviewing and approving automation logic before launch.

VisionHub is not responsible for missed leads, incorrect routing, failed messages, delayed notifications, third-party CRM outages, email deliverability issues, customer-side changes, or platform limitations outside VisionHub's control.

Advanced integrations, custom workflows, complex automation logic, or additional systems may require additional fees.

23. SecureVote

SecureVote services may include demos, onboarding, election setup, ballot configuration, voter or member roster review, eligibility setup, credential issuance, support preparation, audit configuration, reporting, branding, and related services.

Organizations using SecureVote are responsible for providing accurate member, voter, eligibility, ballot, candidate, rule, quorum, and election information.

Customers are responsible for ensuring their use of SecureVote complies with applicable laws, bylaws, internal policies, member notices, consent requirements, and governance rules.

24. RemindLedger

RemindLedger is a VisionHub platform designed to help service businesses create branded reminder links and customer reminder workflows.

RemindLedger services may include demos, onboarding, business setup, branding, reminder configuration, link generation, engagement tracking, testing, and related support.

Customers are responsible for ensuring they have appropriate permission to collect customer information, send reminders, and use customer contact data.

VisionHub does not guarantee repeat bookings, customer return rates, revenue increases, engagement rates, or customer behavior.

25. Warranties for Digital Services

Digital deliverables are provided according to the applicable package, plan, or written scope.

Unless otherwise stated in writing, websites may include a limited 30-day warranty for material defects that prevent core use, and applications may include a limited 60-day warranty for material defects that prevent core use.

Warranty coverage excludes issues caused by third parties, customer changes, hosting problems, domain/DNS problems, plugin changes, API changes, platform updates, misuse, customer edits, missing access, browser changes, unsupported devices, or work outside the approved scope.

After the warranty period, fixes, updates, revisions, changes, or support may be billed separately.

26. Subscriptions and Recurring Services

Subscriptions may include SEO Care, Website Care, Local Visibility Care, Review Engine Care, Analytics Reporting, Ads Management, Automation Care, hosting support, maintenance, membership plans, and other recurring services.

Subscriptions bill monthly or annually depending on the selected plan.

Customers may cancel future renewals according to the applicable cancellation process, but active and past billing periods are governed by VisionHub's Refund Policy.

VisionHub may suspend or terminate recurring services for failed payments, chargebacks, misuse, missing access, or breach of these Terms.

27. Installation Services

If VisionHub provides installation services, those services are labor-only unless otherwise stated.

Customers are responsible for providing TVs, mounts, cables, power, access, batteries, products, and required materials.

Small alignment holes may be considered normal and are not covered by warranty.

An adult age 18 or older must be present during service. Scheduling, cancellation, arrival windows, and warranty terms may be governed by the applicable installation estimate, membership terms, or written policy.

28. Membership Plans

If VisionHub offers membership care plans, the applicable plan benefits, discounts, commitment terms, renewal terms, and cancellation obligations will be described in the selected membership plan or written agreement.

Membership discounts and benefits are limited to the selected plan and may not apply to all services, products, third-party costs, or special offers.

29. SMS Communications Consent

By providing your mobile phone number and expressly consenting through VisionHub forms, applications, onboarding flows, checkout flows, or registration forms, you agree to receive SMS communications from VisionHub.

Consent is voluntary: Consent to receive SMS messages is not required as a condition of purchasing any product or service from VisionHub.

Operational messages may include account updates, onboarding information, scheduling, project status, invoices, support communications, Strategy Session scheduling, SecureVote messages, RemindLedger messages, or service-related notices.

Marketing SMS messages are sent only if you separately opt in.

Message frequency varies. Standard message and data rates may apply.

Reply STOP to opt out. Reply HELP for assistance or contact visionassist@visionhub.app.

VisionHub does not sell, share, or disclose mobile numbers or SMS consent data to third parties for their own marketing purposes.

30. Google Workspace and Email Communications

VisionHub may use Google Workspace, including visionassist@visionhub.app, to send confirmations, scheduling messages, onboarding messages, support responses, receipts, service updates, demo follow-ups, and administrative notices.

Customers agree that service-related emails are necessary communications and may be sent even if the customer opts out of promotional marketing messages.

31. Disclaimers and Limitation of Liability

VisionHub services are provided "as is" and "as available" unless expressly stated otherwise in writing.

VisionHub does not guarantee business results, revenue, rankings, traffic, leads, sales, conversions, customer behavior, platform uptime, third-party performance, ad performance, review volume, voter participation, customer return rates, or any specific outcome.

To the maximum extent permitted by law, VisionHub is not liable for indirect, incidental, consequential, special, punitive, or lost-profit damages.

To the maximum extent permitted by law, VisionHub's total aggregate liability arising out of or relating to these Terms or any VisionHub service is limited to the fees the customer actually paid to VisionHub during the twelve (12) months preceding the event giving rise to the claim, except where applicable law requires a different limitation.

This limitation does not apply to liability that cannot be limited under applicable law.

32. Indemnification

Customer agrees to indemnify, defend, and hold VisionHub harmless from claims, damages, losses, liabilities, penalties, fees, and expenses arising from:

  • Customer-provided data, content, files, images, logos, or materials
  • Customer misuse of VisionHub services
  • Customer violation of laws or third-party rights
  • Customer failure to obtain required consents or permissions
  • Customer business operations
  • Customer election, voting, reminder, marketing, advertising, or CRM practices
  • Customer breach of these Terms

33. Payment Disputes and Collections

Customers agree to contact VisionHub at visionassist@visionhub.app before initiating a chargeback or payment dispute.

VisionHub may pause services, suspend accounts, revoke access, or stop work during unresolved payment disputes.

Late balances may accrue fees and may be sent to collections where permitted.

34. License Suspension or Termination

VisionHub may suspend or terminate access to services, applications, subscriptions, platforms, or licenses for non-payment, misuse, breach of these Terms, unlawful activity, security risks, chargebacks, abuse, or failure to provide required cooperation.

Upon termination, VisionHub may provide customer data in a standard portable format where applicable and where legally and technically feasible.

Access to VisionHub-owned applications, platforms, software, systems, and frameworks may end upon termination.

35. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to VisionHub, the VisionHub platform, VisionHub services, any purchase, subscription, project, invoice, agreement, or other transaction with VisionHub shall be governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

A. California Customers and California Businesses

If, at the time of the applicable transaction or agreement, the customer resides in the State of California, has its principal place of business in the State of California, or is entering into the transaction through a California business location or California business entity, then any dispute arising out of or relating to the transaction, these Terms, or VisionHub's services shall be brought in the state or federal courts located in Los Angeles County, California, unless applicable law requires a different venue.

To the fullest extent permitted by applicable law, VisionHub and the customer knowingly and voluntarily waive any right to trial by jury with respect to disputes governed by this subsection.

Nothing in this subsection prevents either party from seeking temporary, preliminary, or other injunctive relief from a court of competent jurisdiction where such relief is legally available.

B. Customers Outside California

If, at the time of the applicable transaction or agreement, the customer does not reside in California, does not maintain its principal place of business in California, and is not entering into the transaction through a California business location or California business entity, then, except for the matters expressly excluded below, any dispute, claim, or controversy arising out of or relating to these Terms, VisionHub's services, a purchase, subscription, project, invoice, agreement, or other transaction with VisionHub shall be resolved by binding individual arbitration.

Arbitration shall be administered by the American Arbitration Association ("AAA") under the applicable AAA Consumer Arbitration Rules or Commercial Arbitration Rules, depending on the nature of the transaction, unless the parties agree in writing to another arbitration administrator or procedure.

Arbitration may be conducted by telephone, videoconference, written submissions, or another reasonably available method permitted by the applicable arbitration rules.

The arbitrator shall have authority to award any individual remedy that would otherwise be available in a court of competent jurisdiction, subject to the limitations and exclusions contained in the applicable agreement and applicable law.

Arbitration shall be conducted on an individual basis. Neither party shall be required to arbitrate any claim on a class, representative, consolidated, or private-attorney-general basis to the extent such a waiver is permitted by applicable law.

The arbitrator's award shall be final and binding and may be entered as a judgment in any court having jurisdiction.

C. Matters That May Be Brought in Court

Notwithstanding the arbitration provision above, VisionHub or the customer may bring an action in a court of competent jurisdiction where appropriate for: temporary or preliminary injunctive relief; protection or enforcement of intellectual-property rights; unauthorized access, misuse, security threats, or threatened harm to VisionHub systems; collection of undisputed or adjudicated amounts owed; enforcement of an arbitration award; matters that applicable law does not permit to be subject to mandatory arbitration; or another matter that the parties expressly agree in writing may proceed in court.

D. Geographic Classification

VisionHub will not determine whether a customer is subject to the California-court provision or the out-of-state arbitration provision solely from an IP address. The applicable dispute-resolution track may be determined using information reasonably associated with the contracting party and transaction, including the customer's residence, principal business address, billing address, business registration information, account information, or other customer-provided address information. IP address and device information may be retained as supporting transaction and acceptance evidence but shall not, standing alone, determine the customer's dispute-resolution classification.

E. Applicable Law

Nothing in this section is intended to waive or restrict a consumer, statutory, venue, arbitration, jury-trial, or other right that applicable law prohibits the parties from waiving. If any part of this dispute-resolution section is found invalid or unenforceable, it shall be limited or modified only to the minimum extent necessary, and the remaining provisions shall continue in effect to the fullest extent permitted by law.

36. Updates to These Terms

VisionHub may update these Terms periodically. Each published version is an immutable, dated, versioned record; the "Last Updated" date shown on this page reflects the publication date of the current published version.

For material changes that require renewed assent, VisionHub will not rely solely on continued use to establish acceptance. Known users and customers who previously accepted an earlier version will be given the opportunity to review and affirmatively accept the updated Terms before continued use is treated as acceptance.

Minor or non-material changes that counsel determines do not require renewed assent may take effect upon published notice without a separate affirmative acceptance.

Where a specific signed agreement or order-of-precedence provision governs the parties' relationship, that specific agreement's terms control over these general public Terms to the extent provided in that agreement.

Electronic approvals and authenticated electronic communications may constitute written approvals where applicable and permitted by law.

37. Entire Agreement

These Terms, together with VisionHub's Privacy Policy, Refund Policy, applicable checkout terms, invoices, estimates, statements of work, and written agreements, constitute the complete agreement between VisionHub and the customer regarding the applicable services.

These Terms supersede prior communications or understandings unless a separate written agreement signed by VisionHub expressly overrides them.
